Accu Global Transformation Services – General Terms for Sale, Delivery & Payment (India)

A. Definitions

Company Refers to Accu Global Transformation Services.

Customer Any individual, firm, or company purchasing goods from Accu Global.

Contract The agreement between Accu Global and the Customer for the supply of goods, governed by these terms.

Goods Any product or item supplied or agreed to be supplied under the contract.

1. General Terms

These terms apply to every contract with Accu Global.

By placing an order, the Customer agrees to these conditions.

Any change to terms must be approved in writing by authorized management.

External representations not included in this contract are not binding.

2. Quotations & Orders

Quotes are valid for 60 days unless otherwise mentioned.

A contract begins only after Accu Global issues a written order confirmation.

Orders must be submitted in writing.

Changes after order confirmation require written approval.

3. Minimum Order Value

Orders must comply with packaging, size, and standard units listed in the current price list.

Orders below ₹10,000 (excluding taxes) may incur a handling charge of ₹1,750.

4. Substitution Rights

In case of material or component shortages, Accu Global may substitute equivalent alternatives without liability or cancellation rights to the customer.

5. Pricing

Prices include packaging and delivery within India unless stated otherwise.

Prices may change due to factors beyond company control before dispatch.

Taxes and duties are extra unless specified.

Discounts apply only if agreed in writing.

6. Payment Terms

Payments must be made at Accu Global’s registered business address or as per agreed terms.

Late payments may incur interest at 8% above RBI base rate.

The company may request advance payment or security if financial risk is perceived.

Payments must be made in full without set-off unless legally mandated.

7. Ownership of Goods

Ownership transfers only after full payment for all dues.

Until payment:
 • Goods must be stored separately and kept identifiable.

 • They must remain insured at full value.

 • The customer holds them as a trustee/bailee of the company.

Accu Global may recover goods if payments are overdue or terms are breached.

8. Risk Transfer

Risk passes to the customer once goods are delivered or deemed delivered.

9. Delivery Terms

Delivery timelines are estimates; delays do not justify cancellation or claims.

Partial deliveries may be made and treated as separate contracts.

Failure to accept delivery may result in additional charges and deemed handover.

10. Goods Damaged in Transit

Loss or damage must be reported in writing:
 • Within 7 days of delivery
 • Or within 14 days of invoice for missing consignments

Liability is limited to replacement or repair.

11. Returns Policy

Returns are accepted only for:

  • Confirmed quality-related defects

  • Verified shipment errors

Conditions:

  • Goods must match current specifications.

  • Obsolete, modified, or special items are non-returnable unless approved.

  • Items must be unopened and in original packaging.

  • Returns follow inspection, approval, and documentation protocols.

Credit notes require management approval and valid documentation.

12. Return Shipping Address

Accu Global Transformation Services

Freight must be prepaid by the customer unless otherwise approved.

13. Credit Notes

Issued based on invoice value and eligibility. Non-compliant returns may be rejected.

14. Damage by Logistics Carrier

Shortages or damage due to courier/logistics handling are the responsibility of the customer and carrier.

15. Return Condition

Returned goods must:

  • Be in saleable condition
  • Have intact labels and packaging
  • Be free of extra markings

16. Risk in Returned Goods

Goods remain at the customer’s risk until Accu Global confirms receipt.

17. Special or Custom Orders

Special items may be canceled if manufacturing becomes impractical. No liability will apply.

18. Technical Documents & Designs

  • All tooling, designs, drawings, and equipment remain Accu Global’s property.
  • Confidentiality must be maintained unless legally exempt.

19. Warranty

  • Defects due to material or workmanship, reported within 12 months, will be repaired or replaced.

  • No warranty for products based on customer designs or alterations.

20. Liability Limitations

  • Total liability is capped at the contract value.

  • Indirect losses (profit, goodwill, delays) are excluded.

  • Legal obligations for personal injury or fraud remain valid.

21. Patent & IP Indemnity

Customers must indemnify Accu Global if goods made to customer design infringe third-party IP.

22. Contract Termination

Immediate termination applies if the customer:

  • Becomes insolvent/bankrupt

  • Breaches key obligations

  • Stops trading

  • Misuses or charges supplied goods

 

Rights accrued before termination remain enforceable.

23. Governing Law & General Clauses

  • Governed by Indian Law with exclusive jurisdiction of Indian courts.

  • Invalid clauses do not void the rest of the contract.

  • Rights may be assigned by Accu Global with written notice.
